This Non-Disclosure Agreement ("Agreement") is entered into as of 2026-06-01 between:

1. PURPOSE
The parties wish to explore a potential business relationship concerning: [describe purpose]. In connection with this opportunity, each party may disclose to the other party certain confidential and proprietary information.

2. CONFIDENTIAL INFORMATION
"Confidential Information" means any data or information that is proprietary to the disclosing party and not generally known to the public, whether in tangible or intangible form, including but not limited to: business plans, technical data, product ideas, trade secrets, and financial information.

3. OBLIGATIONS
The receiving party agrees to: (a) hold the Confidential Information in strict confidence; (b) not disclose it to any third party without prior written consent; (c) use it solely for the stated purpose above; (d) protect it using the same degree of care used for its own confidential information (no less than reasonable care).

4. TERM
This Agreement shall remain in effect for 1 year from the Effective Date, unless terminated earlier by mutual written consent.

5. EXCLUSIONS
Obligations do not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; (d) is required to be disclosed by law.

6. GOVERNING LAW
This Agreement shall be governed by the laws of [jurisdiction], without regard to conflict of law provisions.

7. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements.
